SECTION 4 | Confidentiality Deed

In consideration of Mandanex Capital Pte Ltd entering into discussions relating to the possible acquisition of an interest in a business I hereby agree as follows:

1. To treat as totally confidential the identity of each business quoted to me, including any details as to its operation or financial accounts.

2. Not to disclose the identity or any details of the operation or financial accounts to any third party (except my accountant or legal advisor who shall agree to respect this requirement for confidentiality) unless expressly authorised in writing by the vendor or his agent.

3. Not to make an approach to any vendor of any business quoted to me by Mandanex Capital Pte Ltd, or its staff, customers or suppliers without prior arrangement with Mandanex Capital Pte Ltd and to refer all queries through the said agent.

4. That all information is received for no other purpose than the evaluation of the investment potential of the business. It is further understood that this information is based upon that provided by the vendor and that Mandanex Capital Pte Ltd makes no representation as to the truth or accuracy of said information.

5. To indemnify and keep indemnified and hold harmless Mandanex Capital Pte Ltd and its clients / vendors against all losses, damages, costs or expenses which may be incurred as a result of any unauthorised disclosure or use of the Confidential Information.

6. If a business quoted to me by you is of interest, I acknowledge that Mandanex Capital Pte Ltd is the introducing agent and I agree that all offers to purchase a business, shares or property will be conducted through Mandanex Capital Pte Ltd.

7. If I decide not to proceed with the investment, I agree to return to Mandanex Capital Pte Ltd immediately all written information supplied by it and retain no copies.
